Agreement to Terms

Eligibility and Account Registration

To use our services, you must be at least 18 years old and have the legal capacity to enter into binding contracts. By registering for an account, you represent and warrant that all information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breach.

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms of Use. You must not use our services:

To process transactions for illegal goods or services, or in violation of any applicable laws or regulations.

To engage in fraudulent activity, money laundering, or any other criminal conduct.

To process payments for high-risk activities without prior written approval from spring-ocelot.

Fees and Payment

Service fees are as described on our website and in your service agreement. You agree to pay all applicable fees for the services you use. We reserve the right to change our fees with thirty days' notice to existing customers.

Transaction fees, processing charges, and any additional costs will be deducted from your settlements or billed separately as specified in your service agreement. All fees are non-refundable unless otherwise stated.

Transaction Processing

We will use commercially reasonable efforts to process transactions promptly. However, processing times may vary depending on payment method, banking relationships, security checks, and other factors beyond our control.

We reserve the right to refuse, delay, or reverse any transaction if we suspect fraud, violation of these terms, or other illegal activity. You acknowledge that we may be required to comply with card network rules, banking regulations, and other requirements that affect transaction processing.

Chargebacks and Disputes

You are responsible for handling customer disputes and refund requests. When a chargeback is initiated by a cardholder, the transaction amount and associated fees may be debited from your account.

You agree to provide requested documentation and information to assist in chargeback resolution. If chargebacks exceed acceptable thresholds, we may adjust your service terms, require a reserve account, or terminate your service.

Data Security and Compliance

You are responsible for protecting customer payment data that you collect and ensuring compliance with PCI DSS requirements applicable to your business. We provide tools and services to assist with compliance, but ultimate responsibility rests with you.

You must implement appropriate security measures to protect access to your account and prevent unauthorized use of our services.

Intellectual Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, software, and designs, are owned by spring-ocelot or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. You may not copy, modify, distribute, sell, or lease any part of our services without our prior written permission.

Limitation of Liability

These Terms of Use are governed by the laws of Victoria, Australia, without regard to conflict of law principles. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts located in Melbourne, Victoria.

Before initiating legal proceedings, you agree to attempt to resolve disputes through good faith negotiation for a period of thirty days.
